Structure

Regulation D Rule 506(c) Accredited Investor Fund. Participation is limited to verified accredited investors (generally $1M+ net worth excluding primary residence or $200K+ annual income).

Investment Strategy

Acquisition of non-performing loans and distressed real estate, including but not limited to Home Equity Conversion Mortgage (HECM) assets sourced directly through HUD HNVLS auctions and secondary market channels. The strategy focuses on acquiring discounted assets in bulk, applying disciplined asset management, and executing structured exit strategies to maximize recovery and trading velocity.

Capital Commitment

Per Unit: $250,000

Minimum Investment: $125,000

NAP Private Equity Minimum: $50,000

*Must be an active NAP Private Equity Club Member to qualify

Capital is deployed through programmatic acquisitions and direct participation in quarterly HUD HNVLS auctions, as well as secondary market purchases through established institutional trade channels. Deployment occurs on a rolling basis as inventory is secured.

Preferred Return: 9%

Profit Split: 70% LP / 30% GP

Fund Term: 5 Years

Early Exit: 2 years without penalty
